Terms of Service

1. Acceptance of terms

By creating an account or using TrackPe in any way, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not use TrackPe.

We may update these Terms at any time. We will notify you of material changes via email or a notice on the dashboard. Continued use after notice constitutes acceptance of the updated Terms. If you disagree with a change, you may cancel your account before the new Terms take effect.

2. What TrackPe is

TrackPe is a software-as-a-service (SaaS) tool developed and operated by Yash Bishnoi, an independent developer based in India. It helps Instagram content creators and marketers save, organise, and analyse Instagram Reels. Users save reels by sending reel links via Instagram Direct Message to @trackpe.ai. TrackPe processes those links using artificial intelligence to categorise, tag, and make them searchable in a personal dashboard.

TrackPe is a research and organisation tool. It does not download, reproduce, or redistribute Instagram video content. It processes publicly available metadata. Reels remain on Instagram's servers at all times.

3. Eligibility

To use TrackPe, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the service under applicable law
• Comply with Instagram's Terms of Use and Meta's Platform Terms — use of TrackPe does not exempt you from those obligations

TrackPe is available to users worldwide. However, it is designed and priced primarily for the Indian market. We make no representation that the service is appropriate or available in all jurisdictions.

4. Account registration

You must register an account to use TrackPe. By registering, you agree to:

• Provide accurate, current, and complete registration information
• Keep your login credentials confidential
• Notify us immediately of any unauthorised access to your account
• Be responsible for all activity that occurs under your account

You may not create multiple accounts to circumvent plan limits, share account credentials with others outside of the workspace feature, or impersonate any person or entity.

5. Subscriptions and payment

Plans and billing

TrackPe offers a free tier and paid subscription plans billed monthly or annually. Paid plans are billed in advance at the start of each billing period. Prices are displayed in Indian Rupees (INR) or US Dollars (USD) depending on your location and are inclusive of applicable taxes unless stated otherwise. Prices are subject to change with 30 days' notice.

Payment processing

Payments are processed by Razorpay. By providing payment information, you authorise Razorpay to charge your selected payment method for the applicable subscription fee. We do not store full card details on our servers.

Cancellation

You may cancel your subscription at any time from the Settings page. Cancellation takes effect at the end of your current billing period. You retain access to paid features until then. Cancellation does not automatically delete your account or reel library.

Refunds

Monthly subscriptions are non-refundable once the billing period has begun. For annual subscriptions, you may request a pro-rata refund for unused complete months within 7 days of the initial purchase by contacting support@trackpe.co.in. After 7 days, annual subscriptions are non-refundable. Refunds are issued at our discretion in cases of billing errors or service failure attributable to TrackPe.

Failed payments

If a payment fails, we will attempt to notify you by email. If payment is not resolved within a reasonable period, your account may be downgraded to the free tier. Outstanding amounts remain your responsibility.

6. Acceptable use

You may use TrackPe only for lawful purposes and in accordance with these Terms. You agree not to:

• Use TrackPe in any way that violates applicable Indian or international law, or Instagram's Terms of Use
• Automate reel submission via bots, scripts, or any means other than Instagram Direct Messages or the TrackPe web interface
• Attempt to scrape, crawl, or bulk-extract data from TrackPe's platform or API
• Reverse engineer, decompile, or attempt to extract the source code of TrackPe
• Resell, sublicense, or provide third-party access to your TrackPe account or data without written permission
• Interfere with or disrupt the integrity or performance of the service or its underlying infrastructure
• Attempt to gain unauthorised access to any part of the service, other user accounts, or our systems
• Use the service to save or process content that infringes on the intellectual property rights of others, or that is unlawful, defamatory, obscene, or harmful
• Create multiple free accounts to bypass plan limits

Violation of this section may result in immediate suspension or termination of your account without refund.

7. Your content and intellectual property

Your content

You retain ownership of any notes, collection names, or other original content you create within TrackPe. By submitting content to TrackPe, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display that content solely to provide the service to you. This licence ends when you delete the content or close your account.

Third-party reel content

Reels saved through TrackPe are the property of their original creators on Instagram. TrackPe processes publicly available reel metadata but does not claim any ownership over third-party content. You are responsible for ensuring that your use of saved reel data complies with applicable copyright law and Instagram's Terms of Use.

TrackPe's intellectual property

TrackPe, its logo, interface design, AI categorisation outputs, and all software are owned by TrackPe and protected by applicable intellectual property law. Nothing in these Terms grants you any right to use TrackPe's trademarks, branding, or proprietary technology outside the normal use of the service.

8. Third-party services

TrackPe integrates with third-party services including Instagram (Meta), Razorpay, Anthropic, and Voyage AI. Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or actions of any third-party service. Changes to Instagram's platform, API, or policies may affect TrackPe's functionality, and we cannot guarantee uninterrupted service as a result.

9. Disclaimers

TrackPe is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The service will be uninterrupted, error-free, or secure at all times
• AI-generated categorisations, tags, or summaries will be accurate or complete
• Reel metadata extracted from Instagram will always be available or up to date
• The service will be compatible with all devices, browsers, or Instagram API versions

Use of the service is entirely at your own risk. You are responsible for maintaining independent backups of any data critical to your business that you store in TrackPe.

10. Limitation of liability

To the maximum extent permitted by applicable law, TrackPe and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or related to your use of or inability to use the service, even if we have been advised of the possibility of such damages.

In any event, our total aggregate liability to you for all claims arising out of or related to these Terms or the service shall not exceed the greater of:

• The total amount paid by you to TrackPe in the three (3) months immediately preceding the event giving rise to the claim; or
• ₹1,000 (one thousand Indian Rupees)

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless TrackPe and its operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the service in violation of these Terms; (b) your violation of any applicable law or the rights of a third party; or (c) any content you submit or actions you take through the service.

12. Termination

By you: You may close your account at any time from the Settings page or by contacting us. Closing your account cancels any active subscription at the end of the current billing period. Your data will be deleted as described in the Privacy Policy.

By us:We may suspend or terminate your account immediately, without notice or refund, if you materially breach these Terms, engage in fraudulent or abusive activity, or if required by law. We may also discontinue the service with 30 days' notice to all users. Upon termination, your right to use TrackPe ceases immediately. Provisions that by their nature should survive (including Sections 9, 10, 11, and 13) will survive termination.

13. Governing law and disputes

These Terms are governed exclusively by the laws of India, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the service shall be subject to the exclusive jurisdiction of the competent courts in India.

Before initiating formal proceedings, we encourage you to contact us at support@trackpe.co.in to attempt to resolve the dispute informally. Most issues can be resolved quickly through direct communication.

14. Miscellaneous

• Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and TrackPe regarding the service and supersede any prior agreements.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force.
• No waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights to a successor entity in the event of a merger, acquisition, or sale of assets.
• Language: These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.
